These Terms of Service (“Terms”) govern your access to and use of the website located at agenticready.ai (the “Site”) and the services provided by AgenticReady Inc. (“AgenticReady,” “we,” “us,” or “our”).

By accessing or using the Site or purchasing any services, you agree to be bound by these Terms. If you do not agree, do not use the Site or services.

1. Services

AgenticReady provides agentic readiness assessments, audits, reports, and related advisory services intended to evaluate a website’s or organization’s preparedness for AI-driven discovery and agentic systems (the “Services”).

All Services are provided on a best-efforts basis and are advisory in nature. We do not guarantee rankings, outcomes, revenue impact, or performance improvements of any kind.

2. Eligibility

You represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

3. Payments and Fees

All fees are listed in the currency displayed at checkout and are due in advance unless otherwise stated.

Payments are processed via third-party payment processors. We do not store payment card information.

Except as expressly stated in a separate Refund Policy or agreed to in writing, fees are non-refundable once Services have commenced.

4. Intellectual Property

All content, methodologies, frameworks, reports, templates, branding, and materials provided by AgenticReady are the intellectual property of AgenticReady Inc. unless otherwise stated.

You are granted a limited, non-exclusive, non-transferable license to use deliverables solely for your internal business purposes. You may not reproduce, resell, sublicense, or distribute any materials without prior written consent.

5. Acceptable Use

You agree not to use the Site or Services to:

  • Violate any applicable laws or regulations

  • Misrepresent your identity or affiliation

  • Distribute malware, scrape systems, or interfere with Site functionality

  • Use the Services for deceptive, fraudulent, or harmful purposes

We reserve the right to investigate violations and take appropriate action, including suspension or termination of access.

6. Right to Refuse or Terminate Service

In addition to any other rights set forth in these Terms, AgenticReady Inc. reserves the right, at its sole discretion, to refuse, suspend, restrict, or terminate access to the Site or Services, with or without notice, if we determine that:

  • The nature of a customer’s website, business, content, or operations is unlawful, deceptive, or harmful

  • The engagement poses legal, regulatory, ethical, or reputational risk to AgenticReady

  • The use of Services is inconsistent with our business values, ethical standards, or acceptable use principles

  • The engagement could reasonably result in harm to users, third parties, or the broader digital ecosystem

Such determination shall be made solely by AgenticReady Inc. and does not require justification beyond this provision.

If Services are declined or terminated prior to delivery, any fees paid may be refunded at our discretion, less any non-recoverable costs already incurred.

7. Disclaimers

The Site and Services are provided on an “as is” and “as available” basis.

We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of results.

You acknowledge that AI systems, search platforms, and agentic behaviors evolve rapidly and that any assessment reflects conditions at a specific point in time.

8. Limitation of Liability

To the maximum extent permitted by law, AgenticReady Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, data loss, or business interruption.

Our total liability arising out of or related to the Services shall not exceed the total amount paid to AgenticReady for the specific Service giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless AgenticReady Inc., its officers, directors, employees, and contractors from any claims, damages, liabilities, or expenses arising from your use of the Site or Services or your violation of these Terms.

10. Termination

We may terminate or suspend access to the Site or Services at any time in accordance with these Terms.

Upon termination, all licenses granted to you shall immediately cease.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to conflict of law principles.

12. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on the Site with a revised “Last updated” date. Continued use of the Site or Services constitutes acceptance of the updated Terms.
